What is a Non-Profit?

A nonprofit organization is a mission-driven legal entity formed under state law to advance charitable, educational, religious, scientific, or other public-benefit objectives. Unlike for-profit businesses, any surplus is reinvested into programs and services, and a volunteer board governs the organization under formal bylaws.

  • Charitable Purpose: Established to serve community or public needs rather than generate profit.

  • Surplus Reinvestment: Revenues exceeding expenses are directed back into the mission.

  • Board Governance: Overseen by a board of directors operating under articles of incorporation and bylaws.

  • Public Accountability: Required to maintain transparency and adhere to reporting obligations.

Why Start a Nonprofit?

Forming a nonprofit creates a dedicated legal entity that advances your mission through tax advantages, donor incentives, liability protection, and enhanced credibility.

  • Tax-Exempt Status: Upon IRS approval (and where applicable state filings), qualify for federal and state income, sales, and property tax exemptions.

  • Donor Deductibility: Your organization may qualify for Internal Revenue Code 501(c)(3) status, enabling supporters to make tax-deductible contributions and expand your fundraising reach.

  • Liability Protection: Shield directors, officers, and members from personal responsibility for organizational obligations.

  • Grant & Funding Access: Unlock eligibility for foundation, corporate, and government grants reserved exclusively for nonprofits.

What Qualifies as a 501(c)(3) Nonprofit?

A 501(c)(3) organization must be organized and operated exclusively for one or more exempt purposes, including, but not limited to, religious, charitable, educational, scientific, literary, public safety testing, fostering amateur sports, or preventing cruelty to children or animals, and its governing documents and activities must reflect that mission.

  • Exclusive Exempt Purpose & Operation: Must be organized and operated solely for IRS-recognized charitable, educational, religious, scientific, or similar missions, with governing documents restricting non-exempt activities.

  • Asset & Earnings Restrictions: Prohibits private inurement or benefit, net assets and income must remain with the organization and serve its mission.

  • Political & Lobbying Limits: Allows only insubstantial lobbying; any political campaign intervention (endorsing or opposing candidates) is strictly forbidden.

  • Unrelated Business Activities: Income from non-exempt ventures must be limited in scope (and may incur unrelated business income tax) and cannot become the nonprofit’s primary focus.

$1500 /flat-fee, includes initital consult.
